Valero Energy Corporation (NYSE: VLO) announced today that Robert A. Profusek, a partner in the New York office of internationally recognized law firm Jones Day, has been elected to the company’s board of directors. Profusek, who becomes Valero’s 10th board member, will serve on the board’s Nominating/Governance and Compensation committees.

Profusek is also a board member at CTS Corp., a NYSE-listed electronic components manufacturer. Prior to his election to the Valero Energy board, he had served as a director of Valero L.P., a master limited partnership of which Valero Energy is the general partner.

Profusek, 55, joined Jones Day in 1975. His law practice focuses on mergers and acquisitions, takeovers, restructurings and corporate governance matters, including compensation. He currently heads the firm’s mergers and acquisitions practice. He is also a frequent speaker regarding corporate takeovers and corporate governance, has authored or co-authored numerous articles, has testified before Congress and the SEC about takeover and compensation-related matters, and has appeared on CNBC, CNN and Bloomberg TV.
